Newdex is a platform for users to exchange digital assets and provides related services.

When you use Newdex, that means you have read, understand, agree to accept and comply with the following user agreement (hereinafter referred to as "this Agreement") if you do not agree to comply with this agreement, please do not enter the Newdex. We reserve the right to make reasonable amendments to this agreement from time to time. As long as the natural person or other subject who logs in Newdex is regarded as Newdex user, and for the convenience of expression, the following uses "You" or other second person refferred to. Newdex or “We” or other fisrt person reffers to Newdex platform.

1.Newdex rights and obligations 

1.1 If you do not have the registration qualifications stipulated in this agreement, Newdex reserves the right to refuse your registration. And Newdex reserves the right to decide whether or not to accept your registration under any other circumstances.

1.2 Newdex reserves the right to suspend or terminate the use of the account when we find you are not the initial registrant of the account. 

1.3 Through technical testing, manual sampling, etc., your information is suspected reasonably that what you provided is incorrect, false, invalid or incomplete, Newdex reserves the right to notify you to correct, updatde information, suspend or terminate the offer of Newdex services

1.4 Newdex reserves the right to correct the information when it finds that any of the information displayed on Newdex has a significant error..

1.5 Newdex reserves the right to modify, suspend or terminate Newdex services at any time. Newdex's right to modify or discontinue the services does not require prior notice; If Newdex terminates one or more of Newdex's services, the termination will take effect on the date that Newdex publishes the termination notice on the website.

1.6 Newdex should take the necessary technical means and management measures to ensure the normal operation of Newdex , and provide the necessary and reliable trading environment and transaction services to maintain the order of digital assets trading.

1.7 Newdex to protect your digital assets by strengthening technical inputs and enhancing safety precautions, and is obligated to notify you in advance of foreseeable security risks in your account.

1.8 ,Newdex have the right to delete all kinds of content or information that does not conform to laws, regulations or Newdex regulations on the platform. When executing these rights, Newdex requires no prior notice to you.

1.9 ,Newdex has the right to be in accordance with the laws and regulations of your sovereign country or region, rules, orders and other norms of the requirements, to ask you for more information, and take reasonable measures to meet the requirements of local norms. You have the obligation to cooperate. Newdex reserves the right to suspend or permanently stop opening Newdex and some or all of services to you, in accordance with the laws, regulations, rules, orders, etc. of your sovereign country or region..

1.10 You may not download (except page cache) or modify the Site or any part thereof without our express written consent. This includes prohibiting resale or use of Newdex or its content for commercial purposes. The collection and use of any product listing, description or price is prohibited. The use or modification of any derivative is prohibited; it is forbidden to download or copy account information in order to profit from other businesses. It also prohibits the use of data mining, screen capture, robotics or similar data collection and extraction tools. No part of Newdex or Newdex may be reproduced, sold, resold, accessed, or used for any commercial purpose without our express written consent. You may not use framing technology to attach to the Site, any trademarks, logos or other proprietary information (including images, text, page layout or form) of products offered by Newdex or its affiliates. We may not use any of our meta tags or any other "hidden text" to use our name or trademark without our express written consent. 

1.11 We will only use your personal data as permitted by law. Your personal information is usually used in the following situations:
1.11.1 To fulfill the contract we are about or have reached with you;
1.11.2 To protect the legitimate rights of us (or third parties) (and your rights and fundamental rights do not override these legal rights);
1.11.3 To comply with statutory or regulatory obligations.

2 Limitation of liability and exemption

You understand and accept the under cases，we are not responsible for the following matters.:

2.1 Loss of income;

2.2 Trading profits or contract losses;

2.3 Business interruption

2.4 The loss of money expected to be saved;

2.5 The loss of information;

2.6 Opportunity, goodwill or loss of reputation;

2.7 Damage or loss of data;

2.8 The cost of purchasing alternative products or services;

2.9 Any indirect, special or incidental loss or damage caused by infringement (including negligence), breach of contract, or any other reason, whether such loss or damage may be reasonably foreseeable to us, whether or not we have been informed of the possibility of such loss or damage in advance. 

Note:2.1 strips to 2.9 are independent of each other.

You understand and agree that we shall not be liable for any damages of you in the following circumstances:

2.2.1 We have reasonable grounds to believe that there may be a major violation or breach of contract in your specific transaction. 

2.2.2 We have reasonable grounds to believe that your actions at Newdex are suspected of being illegal or unethical.

2.2.3 Costs and losses resulting from the purchase or acquisition of any data, information or transactions through the Newdex Service.

2.2.4 Your misunderstanding of the Newdex service.

2.2.5 Any other loss related to the services provided by Newdex but it’s not caused by us.

2.2.6 Our information network equipment maintenance, information network connectivity failure, computer, communications or other system failures, power failures, weather reasons, accidents, strikes, labor disputes, riots, uprisings, riots, productivity or insufficient means of production, fire, floods, storms, explosions, war, bank or other partner reasons, the collapse of the digital assets market, the acts of government, the orders of the judicial or executive organs, any other acts that are not within our control or our inability to control, or the causes of the third party, which do not serve or delay the service or cause your loss, all above we shall not be liable for.

2.2.7 We can not guarantee that Newdex contains all the information, procedures, text and so completely safe, not by any viruses, trojans and other malicious programs interference and destruction. So you login, use Newdex any service or download, and use of this way to download any program, information, data, etc. are your personal decisions. And it take risks and possible losses.

2.2.8 We do not make any warranty or commitment to any information, products and business of any third party website linked to Newdex , or any other form of content other than our subject, and if you use any of the services provided by the third party website, Information and products are your personal decisions and assume all the responsibilities arising therefrom.

2.2.9 We do not make any express or implied warranties for your use of the Newdex service, including but not limited to the applicability, error or omission, continuity, accuracy, reliability, and suitability for a particular purpose of the service provided by Newdex . At the same time, we do not make any commitment and assurance to the effectiveness, accuracy, correctness, reliability, quality, stability, completeness and timeliness of the technology and information involved in the services provided by Newdex . Whether to log in or use the services provided by Newdex is your personal decision and risks and possible losses. Our market for digital assets, value and price do not make any express or implied warranties, you understand that the digital assets market is unstable, prices and values can fluctuate or collapse at any time, the transaction of digital assets is your personal freedom to choose and decide and take risks and possible losses.

2.2.10 Our guarantee and commitment stipulated in this Agreement are the only guarantee and statement of our services provided for this Agreement and Newdex and supersedes any guarantee and commitment arising out of any other means and manner, whether written or oral, express or implied. All these guarantee and commitment represent our own guarantee and commitment and do not guarantee that any third party will comply with the warranties and undertakings in this Agreement.

2.2.11 We do not waive any rights not covered by this Agreement that limit, waive or offset our liability for damages to the fullest extent applicable to the law.

2.2.12 You are registered to acknowledge our actions in accordance with the rules stipulated in this Agreement, and any risk arising from you shall be borne by you.

3 Special measures 

If we suspect or have reason to believe that you (or your counterparty) are engaged in suspicious transactions or other suspicious activities, or if you (your counterparty) have violated any of the foregoing warranties or any applicable laws or regulations, we have the right (but not the obligation) to suspend any transaction at Newdex address. Because of you can't exchange digital assects by Newdex, which may cause any loss or gain to you, we make it clear that we are not responsible for it. You agree to be fully liable for any damages incurred by your actions or we must suspend your trade or any third party actions that cause us loss. During the suspension of your transaction, we will conduct an investigation and may ask you to cooperate with us to conduct an investigation.

4 Change usage protocol 
We can update the user agreement at any time.

5 Termination of the agreement 

You agree that Newdex reserves the right to suspend, or permanently freeze (cancel) your account at any time without prior notice. We can suspend or terminate your service in Newdex for any reason, and it is not necessary to assume any responsibility for you or any third party. Newdex has the right to continue keeping the transaction data, records and other information related to the account and using the information.

Newdex shall have the right to terminate this Agreement directly by way of cancellation of the account and shall have the right to permanently freeze (unregister) the rights of your account in Newdex :

5.1 The main content of the user information you provide is untrue or inaccurate or incomplete;

5.2 This Agreement (including rules) has been updated or notified, you understand clearly the new rules but unwilling to accept;

5.3 Other situations that Newdex considers should terminate the service.

After your account service is terminated or the account is permanently frozen (cancelled) on the Newdex 's authority, Newdex is not obligated to keep or disclose to you any information in your account. There is no obligation to send information you have not read or sent to you or the third party any.You agree that after the termination of your contract with Newdex, Newdex will still reserve the following rights: keep your user information and all transaction information in the period of your using Newdex service. If you are in violation of this Agreement or the rules during the use of the Newdex Service, Newdex may claim rights against you under this Agreement. After the Newdex has suspended or terminated your Newdex service, you shall deal solely with any dispute, loss or additional costs arising out of the following processing for the conduct of your transaction prior to the suspension or termination of the service in accordance with the following principles, and shall ensure that Newdex is free from any loss or incur any costs. The digital assets that you have uploaded to Newdex before the service is suspended or terminated, Newdex has the right to delete the relevant information of the item while the service is terminated or terminated; you have been with other where the Newdex user has reached a sale and purchase contract, but the contract has not been actually performed, Newdex has the right to delete the relevant information of the trading contract and the digital assets of its transaction; you have been with other Newdex user before the service was aborted or terminated where the user has entered into a contract for sale and has partially performed, Newdex may not delete the transaction, but Newdex has the right to notify you of the transaction at the time of the suspension or termination of the service.
